Wholesale User Agreement Terms & Conditions:

By purchasing products from American Darling, also referred to within this document as "American Darling" or any of its product lines, the purchaser, henceforth known as the "customer," agrees to adhere to the Terms and Conditions set forth in this agreement. Compliance with these terms is essential and forms a fundamental part of the contractual relationship between American Darling and the customer. Any failure to comply will be regarded as a breach of contract, potentially resulting in the forfeiture of the customer's rights to distribute American Darling products.

The customer is obligated to comply with all current and future Terms and Conditions as stipulated by American Darling. A key condition is the maintenance of a minimum retail price, which must be no less than twice the wholesale cost for each item. This pricing structure is intended to ensure the integrity and perceived value of the American Darling brand. 

Furthermore, it is imperative that American Darling products are presented in a professional retail environment that reflects the brand's standards and values.

The distribution and sale of American Darling products on unauthorized platforms, including but not limited to Amazon, Etsy, Facebook Marketplace, as well as any other resale or "destash" sites, are expressly prohibited. Such actions could undermine the brand's reputation and would be detrimental to our customers’ market positioning. 

Should the customer fail to comply with the stipulations of this Wholesale User Agreement, American Darling reserves the right to revoke or suspend the customer's account. This measure is non-negotiable and executed without exceptions, underscoring the importance of these guidelines. 

We appreciate the customer's commitment to these standards, which are crucial in safeguarding the excellence and reputation of the American Darling brand. Your cooperation helps ensure a mutually beneficial partnership and the continued success of both parties.

Natural Variations: Please note that the hides used in our products are unique and will vary from one item to another. Each hide has its own distinct characteristics, making it impossible to guarantee that every item will have the same design or pattern. Hide patterns, textures, and colors will vary at the time of purchase. We appreciate your understanding that these variations are a natural characteristic of hides and contribute to the individuality of each product. Thank you for choosing us!

Information Sharing

Confidentiality: Customers are required to maintain strict confidentiality regarding any confidential pricing or product information obtained through their association with American Darling. Such information must not be disclosed to unauthorized individuals. It may only be shared with employees or agents of the wholesaler company when necessary for legitimate business operations.

Exceptions: Disclosure of confidential information is permissible only when legally required or to ensure compliance with applicable governmental regulations. Customers must ensure that any such disclosures are limited to what is strictly necessary under the circumstances.

Fraud and Dishonesty

Prohibited Conduct: American Darling maintains a zero-tolerance policy towards any form of dishonesty or fraudulent activity. This includes, but is not limited to, the falsification of purchase orders or misrepresentation of product details. Such actions are considered severe violations of trust and the terms of this agreement.

Consequences: Engaging in fraudulent activities will result in the immediate termination of the customer's account. Additionally, American Darling reserves the right to pursue legal action to the fullest extent of the law. 

Prices: All prices for American Darling products are based on Free on Board (FOB) terms from Houston, TX. This means that the buyer assumes ownership and liability for the goods once they are loaded onto the shipping vessel 1. Prices are subject to change without prior notice, reflecting market conditions and other influencing factors.

Payment Terms: We accept various payment methods to facilitate ease of transaction, including PayPal and all major credit cards such as Visa, Mastercard, American Express, and Discover. These options provide flexibility and security for our customers.

Shipping and Order Processing

Shipping: Upon processing your order, you will receive a confirmation email. We strive to ship orders as complete as possible, using the shipping carrier specified by the customer or selecting the most efficient option available. While we maintain a robust inventory of popular items, there may be instances where a specific style, color, or size is temporarily out of stock. In such cases, we may contact you to discuss whether you prefer to wait for restocking, substitute with a different item, or cancel that portion of the order. Our goal is to ship orders on the same day they are placed; however, processing may take up to three to five business days. Please note that we do not require a signature upon delivery.

Warranty and Returns

Warranty: The warranty for American Darling products is void if the items are not purchased from an authorized retailer. It is the consumer's responsibility to provide proof of purchase from an authorized retail partner to validate any warranty claims.

Returns: If an item is damaged or defective, please contact our customer service department for a return authorization within 7 days of the invoice/receipt date, or fill in the detailed information in the RETURN FORM available by emailing sales@americandarlingbag.com. No unauthorized returns will be accepted.

We will replace the item with an identical or similar item of equal or lesser value, or credit back towards your next order. If any purchase of a non-defective item is returned within 7 days of sale for any reason, the amount of the invoice will be applied as store credit.

The customer is responsible for all shipping costs for the return of non-defective items, and a 30% restocking fee will be deducted from the credit added to the customer's account.

Claims and Cancellations

Claims: Retain all packing materials and the original carton for inspection. Report any damages to both the carrier and us within seven days of delivery. American Darling may process the claim on the customer’s behalf, which requires the lost or damaged shipment must be reported immediately to sale@americandarlingbag.com 

All canceled orders must be confirmed via email.

Chargebacks

We understand that customers have the right to pursue chargebacks; however, we emphasize our generous return policy. If a chargeback is initiated after a customer refuses to utilize our established return policy, we reserve the right to consider this action as fraudulent and may pursue legal action. (See Fraud and Dishonesty)  Buyer’s remorse does not warrant a chargeback; we encourage customers to follow the terms outlined in our Returns and Refunds policy instead. By placing an order with us, you acknowledge that you have read and understood our Returns and Refunds policy and agree to adhere to the terms outlined above.

Terms and Conditions Updates

We reserve the right to modify these Terms and Conditions at any time. By continuing to use our website, you agree to abide by the most current version of this Terms of Use Agreement. All rights are reserved. Some images and materials on the website are copyrighted or proprietary. Customers are permitted to use these images and materials solely for purposes directly related to the business relationship established with American Darling. This includes promotional and marketing activities that align with our brand standards and guidelines. Any other use, reproduction, or distribution of these materials for purposes unrelated to this business relationship is strictly prohibited.

Errors and Inaccuracies

Our objective is to provide complete, accurate, and up-to-date information on our website. However, human and technological errors may occur, resulting in typographical mistakes, inaccuracies, or omissions, particularly concerning pricing and availability. We reserve the right to correct any such errors, inaccuracies, or omissions, even after an order has been submitted, and to update information at any time without prior notice. We strive to ensure our product photos accurately represent our items, but variations in color may occur due to differences in monitor calibrations. We apologize for any inconvenience this may cause.

Substitutions and Order Acknowledgment

If an item is out of stock, American Darling may, at its sole discretion and at no additional cost, substitute another item of equal or greater value. This may include larger quantities, trial samples, or updated packaging. Acknowledgment of an order indicates receipt of your request, not acceptance or confirmation of pricing or availability. We make every effort to accurately describe and display our products and services, but discrepancies may occur. We reserve the right to update information and correct errors at any time without notice. If an item’s correct price is lower than stated, we will charge the lower amount. If higher, unavailable, or inaccurately described, we will cancel the order and notify you via email.

In-stock and Backordered Items Policy

When you place an order with us, please be aware of the following terms regarding backordered items:

Payment and Shipping of Items: Your initial order will be charged in full at the time of purchase, including all items listed, regardless of their stock status. In-stock items will be shipped within 3 to 5 business days, although we strive to process and ship orders as quickly as possible. If an item is determined to be out of stock after your order is processed, you will receive a full refund for that item. If a backordered item becomes available later, you will only be charged for that item at the time it is ready to ship.

Communication About Backorders: If you do not wish to carry a backorder for items that are not in stock, please communicate this preference directly with your sales representative at the time of purchase.

Customer Acknowledgment: By placing an order, you acknowledge that you understand our backorder policy and consent to the terms outlined above.
